The Board also authorized the adoption of a 10b5-1 trading plan that will facilitate consistent share repurchases in compliance with applicable securities law. As previously reported on the Company’s fiscal Q3 2025 earnings call, Franklin Covey had repurchased approximately $17 million of its common stock on the open market in FY2025 and had approximately $28 million remaining as of May 31, 2025, under the Board’s prior $50 million repurchase authorization.
